Nope, just an engineer that looks for tiny cheap stocks in my off time.

Usually, when it's a legitimate company that still communicates with shareholders, it's usually to save money. Being registered with the SEC can cost millions of dollars, which can get expensive if you're a company with a $5 million market cap.
